Role summary:

The Legal, Compliance, and Governance Officer ensures the organization complies with legal standards, internal policies, and regulatory requirements while maintaining robust governance practices. This role involves providing strategic legal advice, overseeing compliance activities, mitigating risks, and ensuring effective governance frameworks are implemented.

Legal Advisory & Risk Management:

  • Provide legal guidance, including contract reviews, regulatory interpretations, and risk assessments, to support the companys strategic objectives.
  • Provide advisory services to management team and operational teams to ensure compliance with applicable laws, regulations, and group policies.
  • Draft, review, and negotiate contracts, agreements, and other legal documents.
  • Proactively identify and address potential legal risks to minimize exposure.
  • Investigate compliance breaches and recommend corrective actions.
  • Ensure proper documentation of compliance issues and resolutions.
  • Liaise with relevant business units and subsidiaries to ensure compliance with business operations.
  • Update management team on all non-compliance issues and provide actionable recommendations.

Policy and Governance Management:

  • Issue, review, and update corporate compliance policies, such as the Compliance Policy, Code of Conduct, Business Ethics, Anti-Competition, and Personal Data Protection policies.
  • Manage and monitor corporate and operational risks to prevent issues and mitigate potential risks to the business.
  • Conduct non-compliance risk assessments and business impact analyses to identify critical functions, processes, and dependencies.
  • Plan and propose compliance policies and procedures to the management team, along with monitoring activities to strengthen compliance and business ethics across the organization.
  • Implement and maintain compliance programs, policies, and training initiatives.
  • Conduct regular compliance audits to assess risks and recommend corrective actions.
  • Prepare and submit compliance reports to regulatory authorities and the management team.
  • Develop and enforce governance frameworks and policies aligned with best practices and regulatory requirements.
  • Promote a culture of integrity, ethical behavior, and transparency within the organization.
  • Address conflicts of interest and ensure adherence to codes of conduct.


Qualifications:

  • Bachelors degree or higher in Law.
  • Professional certifications (e.g., Certified Compliance Professional, Governance Certification) are an advantage.
  • 7 - 10 years of experience in legal roles, including contract drafting, reviewing, and negotiation, or in compliance and governance roles within multinational corporations (MNCs).
  • Demonstrated experience in corporate governance, regulatory compliance, and legal advisory.
  • Strong understanding of corporate law, regulatory compliance, and governance principles.
  • In-depth knowledge of contract, commercial, and general business laws and regulations.
  • Strong analytical, problem-solving, and decision-making skills with the ability to multitask.
  • Effective leadership, management, communication, and interpersonal skills.
  • Fluent in English (both written and verbal).
