Job Summary
The Legal Staff member will play a critical role in supporting legal operations, ensuring compliance, and facilitating the firms green transitioning investment strategy. Working closely with the General Counsel, investment teams, and portfolio companies, this position will handle a range of legal tasks, including transaction support, contract management, and regulatory oversight related to sustainable investments. The ideal candidate will combine legal expertise with an interest in environmental impact and private equity dynamics.
Key Responsibilities
- Transaction Support
Assist in drafting, reviewing, and negotiating legal documents for investment transactions, including term sheets, purchase agreements, and financing arrangements.
Conduct due diligence on target companies, focusing on environmental compliance, ESG (Environmental, Social, Governance) risks, and green technology regulations.
Support deal closings and post-investment legal processes to ensure seamless execution of green transitioning investments.
- Contract Management
Prepare, review, and manage contracts with portfolio companies, investors, and third-party vendors, ensuring alignment sustainability objectives.
Maintain a repository of legal agreements and monitor key milestones, such as compliance deadlines and renewal dates.
- Regulatory Compliance
Monitor and advise on regulations impacting green transitioning sectors, including renewable energy incentives, carbon markets, and environmental laws.
Ensure our client and its portfolio companies comply with local, national, and international legal standards, particularly those related to ESG frameworks.
Assist in preparing reports or disclosures for investors and regulators on sustainability and compliance matters.
- Portfolio Company Support
Provide legal guidance to portfolio companies on operational matters, such as intellectual property protection for green technologies or environmental permitting.
Collaborate with portfolio management teams to address legal risks and opportunities tied to decarbonization and sustainability initiatives.
- Research and Policy Analysis
Conduct legal research on emerging trends, policies, and incentives in green transitioning industries (e.g., clean energy tax credits, climate-related regulations).
Support the General Counsel in assessing the legal implications of new investment opportunities or market developments.
- Administrative and Team Collaboration
Coordinate with internal teams (investment, operations, finance) to streamline legal workflows and ensure timely delivery of support.
Maintain accurate records of legal proceedings, filings, and correspondence in accordance with firm policies.
- Due Diligence
Support due diligence efforts by analyzing target companies financials, operations, and sustainability practices.
Evaluate environmental impact, carbon reduction potential, and alignment with green transitioning goals.
Collaborate with legal and operational teams to identify risks and opportunities in deal structures.
Qualifications
- Experience:
2-5 years of legal experience, preferably in private equity, corporate law, or a related field.
Familiarity with investment transactions, contract law, or regulatory compliance; experience in green transitioning sectors (renewable energy, clean tech, etc.) is a plus.
Prior exposure to ESG or sustainability-focused legal work is highly desirable but not required.
- Skills:
Strong drafting, negotiation, and analytical skills with attention to detail.
Ability to interpret and apply complex regulations, particularly those related to environmental and energy sectors.
Excellent organizational and time-management skills to handle multiple priorities in a fast-paced environment.
Proficiency in legal research tools (e.g., Westlaw, LexisNexis) and Microsoft Office Suite.
- Education:
Bachelors degree required; Paralegal certification or JD (Juris Doctor) preferred but not mandatory depending on experience level.
Coursework or training in environmental law, corporate finance, or sustainable business practices is an advantage.
