About the job Legal Counsel - Special Projects

The Legal Counsel for Special Projects is primarily responsible in providing legal advice and support on the various transactions and activities entered into by the company, or its subsidiaries or affiliates. They would be involved in navigating complex legal issues, assessing risks and ensuring compliance with applicable laws.

RESPONSIBILITIES

1. SPECIAL PROJECTS

- Collaborate with senior management to identify special projects and initiatives requiring legal input and support.

- Identify and assess the regulatory landscape, legal implications, potential risks, and compliance requirements of proposed special projects and recommend actions to mitigate risks.

- Conduct comprehensive legal research and analysis to address complex issues and challenges associated with special projects

- Draft, review, and negotiate legal documents related to special projects, including contracts, memoranda of understanding, joint venture agreements, among others, to ensure that all contracts (i) accurately reflect the terms, conditions, and intentions of the parties and (ii) are aligned with the Groups objectives.

- Work with different stakeholders to finalize any legal document and secure the necessary approvals therefor.

2. ADVISORY

- Handling of various confidential transactions that would require negotiations and dealings with clients, vendors, suppliers, various government agencies and other stakeholders

- Preparation of documents and provision of legal advice for special projects

- Collaboration with the different departments within the Company to better understand the challenges, if any and preferred outcomes

- Ensure compliance with applicable laws, regulations and other policies whether in the formulation or implementation of strategies on how to approach certain issues of a transaction

- Identify potential legal obstacles or challenges that may arise in the course of completing any transaction and provide advice or solution to mitigate or eliminate the risks

- Regularly review existing contract templates to identify areas of improvements

- Review of contracts to ensure that the same accurately reflects the intentions of the Parties and mitigate legal risks, if any.

- Represent the Company in negotiations of various contracts in order to ensure that our objectives and non-negotiable items are secured.

QUALIFICATIONS

- Bachelors degree in Law

- Registered and licensed Lawyer

- With at least more than 5-year work experience in related field

- Knowledgeable on different law especially corporate business law and other related laws

- Competent negotiation skills

- Has a strong Time Management and People Skills

- Analytical and strong attention to detail

- Excellent communication skills both verbally and in writing
