Vacancy: Group Senior Manager: Governance, Risk and Compliance

Reports To: Managing Director (MD)

Location: Windhoek

Nature of the position: Permanent

ANIREP Ltd is a publicly listed renewable energy group, dedicated to delivering sustainable power solutions in Namibia and beyond. Listed on the Namibian Stock Exchange (NSX), ANIREP has a diverse investor base, including local and international stakeholders.

Purpose of the position:

The Senior Manager: Governance, Risk and Compliance will be responsible for establishing and maintaining strong governance frameworks, risk management strategies, regulatory compliance, and managing corporate affairs. Furthermore, the incumbent is responsible for promoting a culture of good corporate governance and compliance with legislation and for the professional and administrative support to the Board, Managing Director and Management.

Furthermore, this role ensures the company meets legal, regulatory, and corporate governance obligations while fostering positive relationships with stakeholders, managing reputational risks, and driving sustainability initiatives.

Qualification and Experience Required:

  • Bachelors degree in Law (LLB), Finance, Risk Management, Business Administration or a related field.
  • An advanced qualification of relevance and/or professional certification will be an added advantage.
  • 8+ years relevant experience in Governance, Risk and Compliance of which 3 years are in a management position.
  • Knowledge of legislation, corporate governance, company secretarial functions, drafting of policies and reports, commercial and contract law and conducting compliance audits.
  • Knowledge and application of IFRS, KING IV, Corporate Governance, Compliance and Risk Management, Skills, Development legislation, Strategy and Policy formulation.
  • Preference will be given to Namibian Citizens.

Key Performance Areas:

Governance

  1. Implement, and oversee ANIREPs corporate governance framework in alignment with Namibian and international best practices, including the NamCode and King IV principles.
  2. Support the Board and executive leadership in governance matters, including board reporting, policy development, and adherence to ethical standards.
  3. Facilitate board and committee meetings, ensuring proper documentation, reporting, and compliance with governance requirements.
  4. Facilitate the drafting of policies and procedures related to governance.

Compliance

  1. Implement a system of measuring and managing corporate governance compliance.
  2. Ensure compliance with stock exchange regulations, including NSX listing requirements and international listing standards, where applicable.
  3. Manage Service Level Agreements (SLA) and Memorandum of Understanding (MoU) with relevant stakeholders.
  4. Ensure ANIREP complies with all applicable laws and regulations.
  5. Liaise with regulatory bodies and legal advisors to stay updated on changes in compliance requirements and industry-specific laws.

Risk Management

  1. Develop and manage an Enterprise Risk Management (ERM) framework, identifying, assessing, and mitigating financial, operational, legal, and reputational risks, incorporating the existing ERM resources for smooth and sustainable adoption across the group.
