Primary Objective - Provide efficient and reliable legal advisory services. - Provide efficient and reliable corporate secretarial services. - Establish governance framework to support the implementation of best governance practices Job Responsibilities: - Provide legal advice and secretarial services to the Bank entities in ensuring efficient administration thereof. - Plan and put in place a robust governance framework - Identify principal objectives, financial and other performance measures, as well as people and resource requirements for the Bank. - Provide direction and technical advice to subordinates, share information and facilitate problem solving Administration: - Plan and implement relevant measures in ensuring activities of the Bank are carried out within the acceptable legal framework. - Provide legal support in relation to contracts, operational lapses, litigations and drafting of legal documentation. - Maintain a comprehensive Authority Schedule for the Bank and effective system of statutory records for the Bank. - Review the Terms of Reference of the relevant Board Committees and Management Committees within the Bank/Group. - Contribute to meeting discussions as and when required and advising the relevant Management Committees on governance related matters. - Organize and be responsible for proper administration of Board meetings in accordance with the relevant provisions of law and to record the minutes thereof. - Ensure that all Board/Committee meetings are conducted smoothly. - Ensure that all minutes of meeting are prepared accurately and on a timely basis. - Ensure that all decisions of the Board/Committee are communicated to affected parties promptly and on a timely basis. - Ensure that all entities strictly comply with relevant laws, regulations, policies and guidelines governing the Bank/Group as a financial services group. Job Requirements: Formal Education: - Minimum of 3 – 5 years’ experience in Legal and Secretarial services with relevant qualifications in related discipline. - Related working experience in banking / financial industry. - In-depth knowledge of latest financial regulatory reporting climate and ability to adapt to a variety of business models. - Ability to manage relationships across several entities/ divisions. - Excellent interpersonal and communication skills. - Excellent administrative and planning skills. - Strategic planning & organizing skill - Influential communication & presentation skill.
