Job Purpose

The role is to render assistance to the Assistant Corporate Secretary of the Bank and the Head of Corporate and Custodianship in the supervision of Paralegals in performing Corporate Secretary and other corporate housekeeping functions for subsidiaries and affiliates and patent and trademark registration requirements of Bank. Rendering of legal advisory and opinion and draft and review contracts, form, and letters for all subsidiaries of the Bank.

Roles and Responsibilities

Corporate Secretary Tasks

  • Assists in the submission of reports or disclosures required by SEC, PSE, and BSP
  • Assists in the drafting of the minutes of the following board committee meetings.
  • Assists the Office of the Corporate Secretary in the updating of related party list of the Banks directors, officers, and stockholders.
  • Assists the Office of the Corporate Secretary in organizing and facilitating the entire Annual Stockholders Meeting (ASM) from board approval until post-ASM disclosures.
  • Assists the Office of the Corporate Secretary in the supervision of the Executive/Admin. Assistants in the preparation of agenda and ensures completeness of materials.
  • Updates related party list of the Banks directors, officers, and stockholders.

Advisory, Opinion, Documentation and Processes and Adhoc Tasks

  • Provides legal advice and opinions.
  • Drafts and reviews contracts, forms, and letters
  • Reviews policies and processes
  • Performs tasks or functions that may be assigned by the Corporate and Custodianship Head or the Division Head from time to time

Requirements

  • Bachelor of Laws, Bar passer, IBP Membership, Mandatory Continuing Legal Education Compliance, Professional tax receipt
  • At least 2 years relevant experience; experience in banks/financial institutions and corporate works preferred but not required; experience in publicly-listed corporations preferred but not required
  • Good oral and written communication skills, human relations and leadership skills, knowledge of court procedures and practices
    basic computer skills, i.e. word processing, internet and e-mail communications
  • preferably with knowledge of bank transactions and products but not required
  • Analytical and attention to details, results driven, work with sense of urgency, team player, leadership
