JOB SUMMARY
The Lead Counsel serves as the principal legal advisor for the organization, providing strategic guidance on complex legal matters and ensuring compliance with applicable laws and regulations. This role oversees high-value transactions, corporate governance, and risk management while partnering with executive leadership to support business objectives. The Lead Counsel manages internal legal operations, supervises external counsel, and drives initiatives that mitigate risk and enable growth.
KEY RESPONSIBILITIES
Corporate Legal Advisory & Operational Support
- Provide strategic legal advice on corporate governance, mergers and acquisitions, and organizational restructuring to support business objectives.
- Draft, review, and negotiate complex corporate agreements, including shareholder agreements, joint ventures, and partnership contracts, ensuring alignment with legal and regulatory standards.
- Ensure compliance with corporate laws, securities regulations, and statutory requirements, mitigating legal risks and safeguarding the companys interests.
Risk Management & Compliance
- Monitor and interpret changes in corporate and commercial law, providing timely advice on their impact to ensure proactive compliance.
- Develop and implement robust compliance frameworks for corporate transactions, reporting, and regulatory obligations.
- Identify, assess, and mitigate legal risks related to corporate structure, investments, and strategic partnerships to safeguard the organization.
Governance & Strategic Support
- Advise and support the board and executive leadership on governance matters, including drafting board resolutions and ensuring compliance with governance standards.
- Maintain accurate corporate records and oversee regulatory filings and disclosures, ensuring adherence to statutory requirements.
- Provide legal guidance on strategic initiatives such as capital raising, IPO readiness, and corporate restructuring to align with business objectives.
QUALIFICATION & REQUIREMENTS
Education:
- Juris Doctor (JD) or equivalent law degree from an accredited institution.
- Active license to practice law in the relevant jurisdiction(s).
- Additional certifications in corporate governance, compliance, or data privacy (e.g., CIPP) are an advantage.
Experience:
- Minimum 5–8 years of post-qualification experience in corporate law, preferably with a mix of law firm and in-house roles.
- Proven track record in corporate governance, mergers & acquisitions, and regulatory compliance.
- Strong experience in contract drafting and negotiation for complex agreements.
- Familiarity with risk management frameworks, securities regulations, and corporate restructuring.
- Exposure to advisory work and strategic projects such as capital raising or IPO readiness is highly desirable.
SKILLS & COMPETENCIES
Technical Skills:
- Expertise in corporate law, governance, and regulatory compliance.
- Advanced contract drafting and negotiation skills for complex agreements.
- Strong knowledge of mergers & acquisitions, corporate restructuring, and securities regulations.
- Familiarity with risk management frameworks and compliance program development.
Soft Skills:
- Exceptional analytical and problem-solving abilities with sound judgment.
- Strong communication and negotiation skills for engaging stakeholders at all levels.
- High attention to detail and ability to manage multiple priorities under tight deadlines.
- Business acumen and strategic thinking to align legal advice with organizational goals.
