Position: Corporate Legal Counsel

Location: Limassol, Cyprus

DUTIES AND RESPONSIBILITIES:

Provide legal advice and support on corporate governance,

corporate structuring and strategic corporate matters across

the Group

Advise Boards of Directors and Board Committees on

governance matters and ensure compliance with statutory

and regulatory obligations

Prepare board and shareholder resolutions, meeting

documentation and corporate records

Manage the Group's corporate housekeeping, including

statutory registers, filings and ongoing compliance across

multiple jurisdictions

Liaise with company registries, corporate service providers

and regulatory authorities regarding incorporations,

restructurings and corporate administration matters

Draft, review and manage a broad range of corporate legal

documentation, including constitutional documents, financing

agreements, intercompany agreements and powers of

attorney

Support the establishment, restructuring and ongoing

management of Group entities across multiple jurisdictions

Coordinate and assist with legal due diligence for mergers

and acquisitions, investments, financing transactions and

regulatory applications

Support corporate transactions including mergers and

acquisitions, restructurings, joint ventures, capital raisings

and cross-border initiatives

Provide day-to-day legal advice on corporate, governance,

financing, intellectual property and general commercial

matters

Coordinate external legal counsel on jurisdiction-specific

matters, transactions and regulatory issues

Assist in developing and improving corporate governance

frameworks, policies and internal controls

Collaborate with senior management on strategic legal

projects and business initiatives.

REQUIREMENTS:

Law degree (LLB required, LLM considered an advantage),

preferably from a UK university

Qualified Attorney admitted to the Bar in the country of origin

Minimum 3 years of post-qualification legal experience

Excellent knowledge of corporate law and corporate

governance principles

Experience managing Registrar of Companies procedures

and corporate filings

Strong experience drafting and reviewing corporate legal

documentation

Excellent written and verbal English communication skills

Strong organisational skills with exceptional attention to

detail

Ability to manage multiple projects and stakeholders

simultaneously

Business-oriented mindset with a pragmatic approach to

legal risk management

Ability to work independently in a fast-paced international

environment

Experience within regulated industries is an advantage

Experience within the iGaming industry is an advantage

Knowledge of gaming licensing and regulatory frameworks is

an advantage

Experience supporting M&A, corporate finance or

cross-border corporate transactions is an advantage.
