Responsibilities

  • Manage all corporate housekeeping requirements, including board and shareholder resolutions, minutes, SEC filings, and maintenance of corporate records.
  • Ensure compliance with applicable laws, regulations, and regulatory reporting obligations.
  • Draft, review, negotiate, and approve contracts, agreements, and other legal documents.
  • Provide legal advice and practical solutions to management and business units on operational and strategic matters.
  • Support the company in financing, lending, collections, procurement, employment, and commercial transactions.
  • Identify and mitigate legal risks affecting the company's operations and business objectives.
  • Develop, review, and update company policies, procedures, and governance documents.
  • Coordinate with regulators, external counsel, auditors, and other stakeholders on legal matters.
  • Manage disputes, claims, investigations, and litigation with the assistance of external counsel when necessary.
  • Monitor legal and regulatory developments relevant to financing companies and recommend appropriate actions.

Qualifications

  • Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) degree.
  • Member in good standing of the Integrated Bar of the Philippines.
  • At least 3 to 5 years of post-bar legal experience, preferably in corporate law, commercial law, or in-house legal practice.
  • Experience in corporate housekeeping, contract drafting and review, and basic regulatory compliance.
  • Working knowledge of Philippine corporate, commercial, labor, and regulatory laws.
  • Familiarity with SEC reportorial requirements, corporate governance matters, and corporate documentation.
  • Strong legal drafting, negotiation, research, and analytical skills.
  • Ability to provide practical and business-oriented legal advice to management and operating teams.
  • Strong communication and stakeholder management skills.
  • High level of integrity, professionalism, and sound judgment.
  • Ability to work independently and manage multiple legal matters with minimal supervision.
  • Experience in a financing company, lending company, bank, fintech, or financial services organization is an advantage but not required.
