Job Overview:

Looking for a qualified and experienced Company Secretary to ensure compliance with statutory and regulatory requirements while providing support to the board of directors. The ideal candidate will have a strong understanding of corporate governance, excellent organizational skills, and the ability to work effectively in a dynamic environment.

Key Responsibilities:

  • Corporate Governance:

Ensure compliance with corporate governance standards and regulatory requirements.

Advise the board on their responsibilities and obligations under corporate law and company policies.

  • Board Support:

Prepare and distribute board meeting agendas, minutes, and other documentation.

Coordinate logistics for board meetings and ensure proper documentation of discussions and decisions.

  • Regulatory Compliance:

Monitor changes in legislation and regulatory environment, ensuring the company remains compliant.

Prepare and file necessary documentation with regulatory authorities, including annual returns and other statutory filings.

  • Shareholder Communication:

Manage communications with shareholders and stakeholders, ensuring transparency and compliance with disclosure requirements.

Organize annual general meetings (AGMs) and prepare reports for shareholders.

  • Record Keeping:

Maintain corporate records, including the register of shareholders, directors, and company filings.

Ensure proper documentation of company policies, procedures, and compliance activities.

  • Advisory Role:

Provide legal and compliance advice to the board and senior management.

Assist in developing and implementing company policies and governance frameworks.

Qualifications:

  • Bachelor's degree in Law, Business Administration, or a related field
  • Qualified Company Secretary (e.g., ICSA, CGMA, or equivalent) with [X] years of experience in a similar role
  • Strong knowledge of corporate law, governance, and compliance issues
  • Excellent organizational, analytical, and problem-solving skills
  • Strong verbal and written communication abilities
