Assistant Company Secretary
Role Purpose
We are seeking a highly organised and detail-oriented individual to provide comprehensive company secretarial support to a diversified group of companies within the financial services sector. The successful candidate will ensure all legal entities comply with statutory and governance requirements, support the smooth functioning of operational and management committees, and assist the Company Secretary with corporate legal and governance matters.
Key Responsibilities
Governance & Compliance

Prepare and collate information for various committees and forums, including operational and management meetings.

Draft agendas in consultation with Chairpersons and liaise with committee members.

Attend meetings, take accurate and professional minutes, and prepare them for review.

Assist with the drafting and execution of company resolutions.

Maintain statutory and secretarial records (manual and electronic) in compliance with legal requirements.

Ensure adherence to the Companies Act, corporate governance principles, and relevant legislation.
Administration & Support

Coordinate meeting logistics and documentation to ensure seamless committee operations.

Support the Company Secretary in managing corporate governance, legal, and regulatory reporting requirements.

Contribute to continuous improvement and efficiency within the governance function.
People & Collaboration

Build and maintain strong, collaborative working relationships with internal and external stakeholders.

Continuously develop personal expertise and contribute innovative ideas to improve processes.
Qualifications & Experience

CGISA qualification or progress towards completion (advantageous).

13 years experience in a company secretarial or governance administration role.

Sound understanding of the Companies Act, corporate governance, and financial services industry.

Strong communication skills (both verbal and written).

Computer literate with proficiency in MS Office and electronic filing systems.
