Key Responsibilities

  • Draft, review, and negotiate contracts and agreements in English, ensuring accuracy, clarity, and compliance with relevant corporate laws and regulations.
  • Provide legal advice on a broad range of corporate matters, including compliance, risk management, corporate governance, and business operations.
  • Provide legal support and advisory to the Board of Directors and senior management on corporate governance matters, board resolutions, legal risks, and strategic business decisions.
  • Prepare, review, and maintain Board of Directors documentation, including board resolutions, meeting minutes, agendas, powers of attorney, and other corporate governance documents, ensuring proper legal and regulatory compliance.
  • Work closely with internal teams, including Finance, HR, and Operations, to address legal issues and contribute to strategic decision-making processes.
  • Monitor and ensure compliance with applicable laws and regulations, including corporate, data protection, intellectual property, and other relevant legal requirements.
  • Identify, assess, and mitigate legal and regulatory risks that may impact the company or its business activities.
  • Prepare and manage legal documents, reports, correspondence, and corporate records with a high level of accuracy and attention to detail.
  • Offer legal training and support to other departments as needed to ensure awareness of legal requirements and best practices.

Qualifications

  • Bachelor of Laws (LL.B.) degree required. Master's degree in Law (LL.M.) preferred.
  • Licensed by the Bar Association, with at least a primary-level license.
  • Minimum of 5 years of experience in corporate law, with demonstrated experience in drafting, reviewing, and negotiating contracts.
  • Experience in corporate governance and providing legal support to senior management and/or Boards of Directors is highly preferred.
  • Proven expertise in contract law, corporate law, and regulatory compliance, with strong analytical and problem-solving skills.
  • Ability to communicate complex legal concepts clearly and effectively to both legal and non-legal stakeholders.
  • Excellent command of English, both written and verbal. Additional language skills are a plus.
  • Exceptional attention to detail, accuracy, and discretion when handling confidential legal and corporate matters.
