Role Overview

We are looking for a qualified Company Secretary to manage secretarial compliance for the group. The ideal candidate will be a qualified Company Secretary (CS) with 3–5 years of post-qualification experience. As the organization operates across multiple geographies, the candidate should possess knowledge of cross-border compliance requirements and compliance related to international joint ventures.

This role is critical in ensuring organizational governance and regulatory adherence across all group entities.

Key Responsibilities

1. Secretarial Compliance & Governance

  • Act as Company Secretary for group companies.
  • Ensure compliance with all legal and statutory provisions of the Companies Act and secretarial requirements across all group companies incorporated in India.
  • Ensure compliance of all group companies, including joint ventures, with respect to secretarial functions.
  • Maintain records of all secretarial documents for group companies.

2. Board & Meeting Management

  • Conduct Board meetings and prepare Board meeting minutes for group companies.
  • Organize and manage Annual General Meetings (AGMs).
  • File all required documents and annual returns with regulatory authorities.

3. Regulatory & Statutory Filings

  • Ensure compliance with provisions of RBI, FEMA, and DIPP as applicable.
  • Monitor secretarial and legislative changes and keep the organization updated.
  • Ensure timely and accurate regulatory submissions.
  • Support statutory audits through timely submission of documents and supporting information.

4. Policy & Knowledge Management

  • Prepare presentations on various provisions of the Companies Act, 2013.
  • Act as Company Secretary and Key Managerial Personnel (KMP), where applicable.
  • Support organizational governance through proactive compliance monitoring.
  • Provide periodic compliance reports to management.
  • Advise management regarding changes in company law, FEMA, and other regulations, along with their impact on documentation and compliance requirements.

Qualifications & Requirements

  • Qualified Company Secretary (CS) with 4–6 years of post-qualification experience.
  • Strong knowledge of the Indian Companies Act and cross-border compliance requirements.
  • Working knowledge of SEBI compliance and listed entities will be an added advantage.
  • Highly detail-oriented and organized with strong analytical skills.
  • Excellent written and verbal communication skills.
  • Demonstrated interest in climate change, sustainability, and impact-driven sectors.
  • Comfortable working in a fast-paced and evolving environment.
  • Experience working with Indian Private Limited Companies.
  • Based in Bangalore, India.
