Overview:

Our client, a leading national law firm, is seeking a Senior Associate or Of Counsel with strong Private Equity and M&A experience to join its Dallas office. The successful candidate will work closely with private equity sponsors and their portfolio companies on a wide range of complex transactional matters, including mergers and acquisitions, leveraged buyouts, equity investments, and general corporate governance.

Key Responsibilities:

• Advise private equity firms and portfolio companies on diverse transactional and corporate matters

• Draft and negotiate purchase and merger agreements, LLC and LP agreements, and related deal documentation

• Manage the day-to-day legal needs of private equity funds and portfolio clients

• Handle management equity, incentive equity, and co-investment arrangements

• Collaborate with cross-office teams in a dynamic, client-focused environment

Qualifications:

• J.D. from an ABA-accredited law school with strong academic credentials

• 5+ years of private equity and M&A experience at a major law firm

• Texas Bar admission (or ability to waive in)

• Exceptional drafting, analytical, and communication skills
