JOB SUMMARY

The Company Secretary is responsible for coordinating administrative affairs and logistical arrangements for Board, Committee, and Management meetings. The role provides efficient and reliable corporate secretarial services by ensuring proper administration of meetings in compliance with relevant regulations and internal policies.

MAIN RESPONSIBILITIES: 

1. Corporate Secretarial

  • Provide efficient and reliable corporate secretarial services by ensuring proper administration of Board, Committee, and Management meetings in accordance with relevant regulations and internal policies.
  • Provide administrative support for preparation and completion of documentation related to meeting agendas and invitation letters.
  • Compile reports requiring inputs from concerned management and take minutes of Board, Committee, and Management meetings.
  • Coordinate with relevant departments to schedule appointments, meetings, and events, including registration and travel arrangements as required.
  • Arrange accommodation and logistics for directors and other stakeholders when necessary.
  • Translate documents as required by internal departments or government institutions.
  • Support management with interpretation during field visits.

2. Internal Compliance

  • Maintain and regularly update records of registered shareholders, directors, and Board Committee members.
  • Review Terms of Reference of the Board, Board Committees, and Management Committees.
  • Ensure that all policies and procedures are properly approved by the CEO and/or the Board.
  • Support the development, implementation, and maintenance of policies, procedures, and activities to prevent illegal, unethical, or inappropriate conduct.
  • Support continuous education and staff development initiatives.
  • Perform other secretarial or urgent tasks as assigned by the supervisor from time to time.

MAIN REQUIREMENTS:

  • Bachelors degree in Banking and Finance, Law, or related fields.
  • At least 1 year of experience in secretarial and/or compliance roles is an advantage.
  • Basic understanding of the microfinance business in Cambodia.
  • Knowledge of legal matters, compliance, risk, and administrative management is an asset.
  • High proficiency in English (listening, speaking, reading, and writing).
  • Computer literate (MS Word, Excel, PowerPoint, Email, and Internet).
  • Strong interpersonal and communication skills with the ability to work independently and maintain confidentiality.
  • Ability to handle multiple tasks and work on several projects simultaneously.
  • Ability to work with minimal supervision.
  • Strong initiative, prioritization, multitasking skills, and ability to work under pressure to meet deadlines.
