1. Position : Corporate Governance Officer
2. Key Responsibilities of Business Development Department
- The Business Development Department is a department that is saddled with the responsibilities of governing, strategizing, monitoring and evaluation of all functional areas related to the activities of GGINL.
- It is also responsible for conducting market research, ensuring the overall co-ordination of the research outcomes, initiating cross functional collaborations, overseeing the company strategic goals and attainment, as well as governing the organization as a whole.
3. Key Purpose of the Job
- The role of Corporate Governance Officer is to ensure that all corporate governance requirements are clearly communicated and adhered to throughout the organization.
- The role includes working together with and underneath the CEO, the CFO, the Head of Business Development, as part of the Business Development Team.
4. Key Responsibilities
[1] Legal Advice and Business Consulting
- Provide direct support to the Corporate Secretary (the CFO) in efficient and effective management of corporate records including corporate housekeeping, corporate structuring, regulatory and general commercial advice.
- Work directly with the C-level executives in special projects to provide legal advice and business consultancy.
- Serve as a bridge between various departments/parties to ensure legal requirements are met by providing counsel to management on diverse legal matters and potential risks.
- Mediate conversations, negotiate compromises, conduct risk management, and bring forward the legal and business-suitable cross-functional solutions.
- Collaborate with the Risk & Compliance Officer as necessary.
- Respond to changes in laws and regulations including reviewing and creating the policies, and drafting and reviewing the contracts.
- Work closely with the senior management team across the organization to operationalize the corporate governance framework, and delegate the framework for effective business management.
- Assist the CFO in creating Mid & Short-Term Business Plans as part of the Business Development Team.
[2] Corporate Secretarial Functions
- Manage communication with the BOD and shareholders to organize the BOD meetings.
- Prepare and maintain BOD agendas, materials, and minutes.
- Organize the 9 committees and be the secretary of the Management Committee (i.e., prepare the presentation materials for the MGC meeting and its minutes).
5. Role Requirements (Must-Have Skills)
- A Bachelors or a Masters Degree Holder in Law, and/or Business
- Management/Administration.
- Corporate law background and prior experience working as a legal assistant.
- A business and a tech-savvy background is a plus.
- Good communication, presentation, and negotiation skills.
- Able to work independently and in teams.
- Proficiency in MS Office applications such as MS Word, Excel, PowerPoint, and Google
- Workspace tools such as Gmail and Google Drive.
- Fluency in both English and Myanmar (fluency in Japanese is a bonus).
