We are sharing a specialised part-time consulting opportunity for experienced Funds Attorneys with strong expertise in fund formation, fund management, contract negotiation, and contract redlining to contribute to an advanced legal AI training and evaluation project.

Selected professionals will review and assess fund-related contract workflows, simulate negotiations, evaluate AI-generated legal responses, and help establish rigorous standards for transactional legal reasoning and document review. The work is particularly suited to attorneys with hands-on experience in the funds practice of corporate law firms and familiarity with sophisticated private-fund documentation.

Key Responsibilities

Fund Formation & Transactional Review

  • Review and analyse legal documentation relating to fund formation and fund operations
  • Apply professional judgement to private-fund structures and related transactional matters
  • Identify legal, commercial, and drafting risks within fund documents
  • Evaluate whether documentation accurately reflects intended rights, obligations, and economic arrangements
  • Maintain high standards of legal precision across fund-related workflows

Contract Negotiation & Redlining

  • Perform simulated contract negotiations and redlining exercises
  • Review and refine fund documentation including LPAs, subscription agreements, and side letters
  • Evaluate alternative drafting positions and negotiation strategies
  • Identify material risk-allocation and governance implications of proposed changes
  • Maintain consistency across iterative negotiation and redlining tasks

AI Contract Evaluation

  • Review AI-generated responses to fund and contract scenarios
  • Identify weak legal reasoning, inaccurate interpretations, and inappropriate drafting choices
  • Assess whether generated redlines reflect sound funds-law judgement
  • Provide detailed expert feedback to improve model precision and reliability
  • Help improve AI systems designed to analyse sophisticated legal documentation

Evaluation Frameworks & Grading Criteria

  • Create objective evaluation frameworks for contract and fund-related tasks
  • Define grading criteria covering drafting quality, legal reasoning, negotiation judgement, and risk identification
  • Establish consistent standards for evaluating AI-generated legal work
  • Document why particular responses are strong, incomplete, or incorrect
  • Support rigorous and repeatable legal evaluation workflows

Cross-Functional Legal Collaboration

  • Collaborate with product, research, and technical teams
  • Help refine legal datasets, review guidelines, and best practices
  • Translate fund-formation expertise into structured and actionable feedback
  • Contribute to evolving standards for AI-assisted legal review
  • Communicate complex legal concepts clearly across interdisciplinary teams

Ideal Profile

  • J.D. from an ABA-accredited law school
  • Active bar admission in at least one U.S. jurisdiction
  • Minimum of 2 years of experience in the funds department of a corporate law firm
  • Strong experience with fund formation and fund management matters
  • Familiarity with standard fund documentation, including LPAs, subscription agreements, and side letters
  • Strong contract-negotiation and redlining skills
  • Excellent written and verbal communication skills
  • Meticulous attention to detail and strong analytical judgement
  • Ability to translate legal expertise into structured and actionable feedback
  • Comfortable working with cross-disciplinary teams in fast-paced environments
  • Prior exposure to AI, legal tech, or AI-training initiatives is advantageous but not required

Engagement Details

  • Part-time independent contractor engagement
  • Fully remote
  • Compensation: $90–$150/hour
  • Compensation is task-based, with payment tied to completed tasks that meet project specifications
  • Average handling time is approximately 3.5 hours per task
  • Effective hourly earnings may vary depending on task completion time and successful sign-off
  • Work will involve fund-document review, contract redlining, negotiation simulations, AI-output evaluation, and legal-quality framework development
  • Strong fund-formation and transactional experience is central to this engagement
  • Project scope, workload, agreement types, and evaluation standards may evolve depending on project requirements
  • Work must be completed without using confidential or proprietary information belonging to any employer, client, law firm, institution, or other third party
