We are sharing a specialised consulting opportunity for experienced U.S.-based Commercial Attorneys with strong expertise in contract drafting, technology transactions, contract negotiation, redlining, and commercial legal analysis to contribute to an advanced AI training and legal-document evaluation project.

Selected attorneys will review and redline commercial agreements, apply established policy positions and fallback terms, explain the rationale behind proposed revisions, and assess contractual language using the judgement expected of experienced in-house or transactional counsel. The work requires strong drafting ability, practical negotiation experience, and meticulous attention to legal detail. No prior experience in AI is required.

Key Responsibilities

Commercial Contract Review

  • Review complex commercial agreements
  • Analyse contractual language for legal and commercial implications
  • Identify provisions requiring revision or negotiation
  • Evaluate agreements against established playbooks and policy positions
  • Maintain high standards of accuracy throughout document review

Contract Redlining

  • Redline commercial agreements clearly and consistently
  • Propose precise revisions to contractual language
  • Identify acceptable fallback positions
  • Distinguish material issues from lower-priority drafting points
  • Ensure revisions reflect practical commercial objectives

MSA, NDA & DPA Review

  • Review Master Services Agreements
  • Analyse Non-Disclosure Agreements
  • Review Data Processing Agreements
  • Evaluate related commercial and technology contracts
  • Identify key obligations, risks, and negotiation points across agreement types

Contract Drafting

  • Draft and revise commercial provisions
  • Improve clarity, precision, and consistency in legal language
  • Develop alternative wording where existing provisions are unacceptable
  • Apply professional transactional drafting standards
  • Ensure revisions align with defined company positions

Technology Transactions

  • Analyse contracts involving technology products and services
  • Review provisions relevant to technology-enabled commercial relationships
  • Evaluate data protection, confidentiality, and related obligations
  • Apply technology-transactions judgement to complex contract scenarios
  • Identify practical legal risks affecting commercial arrangements

Contract Negotiation

  • Evaluate proposed contractual positions
  • Determine appropriate negotiation priorities
  • Identify acceptable compromise or fallback language
  • Assess risk allocation across competing contract terms
  • Apply practical commercial judgement to negotiation scenarios

Limitation of Liability & Indemnification

  • Review limitation-of-liability provisions
  • Analyse indemnification structures
  • Assess allocation of contractual risk
  • Identify provisions requiring escalation or revision
  • Develop clear explanations for proposed negotiating positions

Confidentiality & Data Protection

  • Review confidentiality obligations
  • Evaluate data-protection provisions
  • Assess contractual treatment of sensitive information
  • Identify inconsistent or commercially unreasonable terms
  • Ensure revisions reflect appropriate legal and policy considerations

Legal Analysis & Written Rationale

  • Explain the reasoning behind redlines and revisions
  • Produce clear written analyses of contractual issues
  • Translate complex legal concepts into actionable recommendations
  • Document relevant risks and negotiation considerations
  • Support consistent application of legal standards across tasks

AI Legal Evaluation

  • Review AI-generated contract analysis or drafting
  • Assess legal accuracy, reasoning, and practical usefulness
  • Identify weak redlines, unsupported positions, or drafting errors
  • Provide structured feedback supporting model improvement
  • Contribute expert transactional judgement to AI-training workflows

Quality Assurance & Collaboration

  • Maintain consistency across document reviews
  • Collaborate with project teams on interpretation and standards
  • Resolve questions involving playbooks or policy positions
  • Support alignment across reviewers
  • Work independently while meeting project deadlines and quality expectations

Ideal Profile

  • JD from an accredited U.S. law school
  • Active bar admission in at least one U.S. jurisdiction
  • Minimum 4 years of transactional legal experience
  • Experience at a law firm or as in-house counsel
  • Strong background in contract drafting, review, and negotiation
  • Deep familiarity with commercial agreements
  • Experience reviewing MSAs, NDAs, DPAs, and comparable contracts
  • Strong knowledge of limitation of liability
  • Strong understanding of indemnification provisions
  • Familiarity with confidentiality and data-protection terms
  • Proven contract-redlining ability
  • Strong commercial and legal judgement
  • Ability to identify appropriate fallback positions
  • Excellent legal writing skills
  • Ability to explain complex legal concepts clearly
  • Strong attention to detail and accuracy
  • Technology-transactions expertise is highly advantageous
  • Comfortable working independently in a remote, deadline-driven environment
  • Adaptable and comfortable contributing to confidential legal projects
  • No prior AI-training or model-evaluation experience is required

Engagement Details

  • Independent contractor engagement
  • Remote — United States only
  • Compensation: $90–$110/hour
  • Work will involve commercial contracts, technology transactions, contract drafting, redlining, negotiation analysis, legal writing, and AI-generated legal-content evaluation
  • Strong transactional and commercial-law experience is central to this engagement
  • Assignments may involve MSAs, NDAs, DPAs, limitation-of-liability provisions, indemnification clauses, confidentiality terms, data-protection provisions, and related commercial agreements
  • Contributors will be expected to apply defined playbooks, company positions, and fallback terms where provided
  • Project scope, document types, legal issues, and evaluation standards may evolve depending on project requirements
  • Work must be completed without using confidential, privileged, proprietary, client-identifiable, deal-sensitive, non-public, or otherwise restricted information belonging to any client, law firm, employer, transaction, technology provider, or other third party
