We are sharing a specialised consulting opportunity for experienced U.S.-based Contracts Attorneys with strong expertise in contract drafting, technology transactions, commercial negotiation, redlining, and transactional legal analysis to contribute to an advanced AI training and legal-document evaluation project.

Selected attorneys will review and redline commercial agreements, apply established contracting playbooks and policy positions, identify appropriate fallback outcomes, and explain the rationale behind proposed revisions. The work closely reflects day-to-day in-house and transactional legal practice. No prior experience in AI is required.

Key Responsibilities

Commercial Contract Review & Drafting

  • Review, draft, and redline complex commercial agreements
  • Analyse contractual language for legal and commercial implications
  • Apply established playbooks, policy positions, and negotiation standards
  • Propose precise revisions and alternative language where required
  • Distinguish material legal issues from lower-priority drafting points

Technology Transactions & Negotiation

  • Review MSAs, NDAs, DPAs, and related technology and commercial agreements
  • Evaluate limitation-of-liability, indemnification, confidentiality, and data-protection provisions
  • Identify negotiation priorities, acceptable fallback positions, and escalation points
  • Assess allocation of legal and commercial risk
  • Apply practical transactional judgement to technology-enabled commercial relationships

Legal Analysis & AI Evaluation

  • Explain the reasoning behind proposed redlines and contractual positions
  • Produce clear written analyses of legal risks and negotiation considerations
  • Review AI-generated contract analysis or drafting for accuracy and practical usefulness
  • Identify weak redlines, unsupported positions, or drafting errors
  • Provide structured feedback while maintaining consistency across review tasks

Ideal Profile

  • JD from an accredited U.S. law school
  • Active bar admission in at least one U.S. jurisdiction
  • Minimum 4 years of transactional legal experience at a law firm or in-house
  • Strong background in commercial contract drafting, review, redlining, and negotiation
  • Experience with MSAs, NDAs, DPAs, and comparable agreements
  • Strong understanding of limitation of liability, indemnification, confidentiality, and data-protection provisions
  • Ability to identify practical fallback positions and apply sound commercial judgement
  • Excellent legal writing, analytical, and communication skills
  • Technology-transactions experience is highly advantageous
  • Comfortable working independently in a remote, deadline-driven environment
  • No prior AI-training or model-evaluation experience is required

  • Compensation: $90–$110/hour
  • Work will involve commercial contracts, technology transactions, drafting, redlining, negotiation analysis, legal writing, and AI-generated legal-content evaluation
  • Assignments may include MSAs, NDAs, DPAs, limitation-of-liability provisions, indemnification clauses, confidentiality terms, and data-protection provisions
  • Contributors will be expected to apply defined playbooks, company positions, and fallback terms where provided
  • Project scope, document types, legal issues, and evaluation standards may evolve depending on project requirements
  • Work must be completed without using confidential, privileged, proprietary, client-identifiable, deal-sensitive, non-public, or otherwise restricted information belonging to any client, law firm, employer, transaction, technology provider, or other third party
