We are sharing a specialised part-time consulting opportunity for experienced M&A Attorneys with strong expertise in mergers and acquisitions, contract negotiation, contract drafting, and contract redlining to contribute to an advanced legal AI training and evaluation project.

Selected professionals will review and assess contract-redlining workflows, simulate negotiations, evaluate AI-generated legal responses, and help establish rigorous standards for transactional legal reasoning and contract analysis. The work is particularly suited to attorneys with hands-on M&A experience in corporate law firms and familiarity with sophisticated acquisition agreements.

Key Responsibilities

M&A Contract Drafting & Review

  • Draft, review, and analyse transactional agreements used in mergers and acquisitions
  • Work with standard M&A documentation, including Asset Purchase Agreements and Stock Purchase Agreements
  • Identify contractual risks, inconsistencies, and drafting weaknesses
  • Evaluate whether provisions accurately reflect intended deal structures and commercial objectives
  • Apply professional transactional standards throughout contract-review workflows

Contract Negotiation & Redlining

  • Perform simulated contract negotiations and redlining exercises
  • Evaluate alternative drafting positions and negotiation approaches
  • Identify legal, commercial, and risk-allocation implications of proposed changes
  • Refine contractual language for clarity, precision, and enforceability
  • Maintain consistency across iterative negotiation and redlining exercises

AI Contract Evaluation

  • Review AI-generated responses to transactional and contract scenarios
  • Identify weak legal reasoning, inaccurate interpretations, and inappropriate drafting choices
  • Assess whether generated redlines reflect sound M&A judgement
  • Provide detailed expert feedback to improve model accuracy and precision
  • Help improve systems designed to analyse and interpret transactional legal documents

Evaluation Frameworks & Grading Criteria

  • Create objective evaluation frameworks for contract-related tasks
  • Define grading criteria covering drafting quality, legal reasoning, negotiation judgement, and risk identification
  • Establish consistent standards for evaluating AI-generated legal work
  • Document why specific responses are strong, incomplete, or incorrect
  • Support rigorous and repeatable model-evaluation workflows

Cross-Functional Legal Collaboration

  • Collaborate with product, research, and technical teams
  • Help refine legal datasets, review guidelines, and best practices
  • Translate transactional expertise into structured and actionable feedback
  • Contribute to evolving standards for AI-assisted contract review
  • Communicate complex legal concepts clearly across interdisciplinary teams

Ideal Profile

  • J.D. from an ABA-accredited law school
  • Active bar admission in at least one U.S. jurisdiction
  • Minimum of 2 years of experience in the M&A department of a corporate law firm
  • Strong experience with mergers and acquisitions and transactional legal work
  • Familiarity with standard M&A agreements, including APAs and SPAs
  • Strong contract-drafting, negotiation, and redlining skills
  • Excellent written and verbal communication skills
  • Meticulous attention to detail and strong analytical judgement
  • Ability to translate legal expertise into structured feedback
  • Comfortable working with cross-disciplinary teams in fast-paced environments
  • Experience working with private-equity firms is advantageous
  • Prior exposure to AI, legal tech, or AI-training initiatives is beneficial but not required

Engagement Details

  • Part-time independent contractor engagement
  • Fully remote
  • Compensation: $90–$130/hour
  • Compensation is task-based, with payment tied to completed tasks that meet project specifications
  • Average handling time is approximately 3.5 hours per task
  • Effective hourly earnings may vary depending on task completion time and successful sign-off
  • Work will involve M&A contract drafting, redlining, negotiation simulations, AI-output evaluation, and legal-quality framework development
  • Strong transactional and M&A experience is central to this engagement
  • Project scope, workload, agreement types, and evaluation standards may evolve depending on project requirements
  • Work must be completed without using confidential or proprietary information belonging to any employer, client, law firm, institution, or other third party
